The agreement between you and EXAFABS.AI governing use of our apps, games, and SaaS products.

📄 1. Agreement

These Terms of Service ("Terms") form a binding legal agreement between you ("you," "user") and Alpit Tare, sole proprietor trading as EXAFABS.AI, India ("EXAFABS," "we," "us," "our"). They govern your access to and use of all websites, mobile applications, games, APIs, and SaaS products offered by EXAFABS.AI, including but not limited to:

By accessing, downloading, installing, registering for, or otherwise using any of our products or services (each, a "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Services.

👤 2. Eligibility & Accounts

You must be at least 13 years old to use our Services, and at least 18 years old (or the age of majority in your jurisdiction) to enter into a paid subscription. By registering an account you represent and warrant that you meet these requirements.

Account registration is handled by our identity sub-processor (Clerk). You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at alpit@exafabs.ai if you suspect unauthorized access.

You agree to provide accurate and current information and to keep it updated. We reserve the right to suspend or terminate accounts that contain false, misleading, or fraudulent information.

💳 3. Subscriptions, Billing & Merchant of Record

Paid Tiers

Some of our SaaS Services offer paid subscription tiers ("Paid Tiers," e.g., FABS & CHIP Tracker Pro, FastAI Health Coach Pro). Available plans, features, and pricing are described on the relevant product page and may change from time to time.

Merchant of Record

Paddle.com Market Limited ("Paddle") acts as the authorized reseller and Merchant of Record for all SaaS subscription purchases made through our web products. When you purchase a subscription, your contract for the purchase transaction is with Paddle; Paddle is responsible for card processing, fraud prevention, invoicing, global tax (VAT/GST) calculation and remittance, and chargeback handling. Subscription orchestration is handled by RevenueCat.

Your use of the Services remains governed by these Terms between you and EXAFABS.AI. Paddle's own terms and privacy policy apply to the payment transaction itself and can be found at paddle.com/legal/checkout-buyer-terms.

Auto-Renewal

Subscriptions automatically renew at the end of each billing period (monthly, quarterly, or annual, as selected) at the then-current price until cancelled. You authorize Paddle to charge your payment method on each renewal date. You may cancel at any time from the Paddle-hosted customer portal link in your order confirmation email, or by emailing alpit@exafabs.ai. Cancellation takes effect at the end of the current billing period, and you retain access until that date.

Price Changes

We may change subscription prices by giving you at least 30 days' advance notice by email. Price changes take effect on your next renewal. If you do not agree to a price change, you may cancel before the renewal date.

Mobile In-App Purchases

Purchases made inside our mobile games are handled entirely by Apple App Store or Google Play and are subject to their respective terms of sale. EXAFABS.AI is not a party to those transactions and cannot process refunds for them directly — refund requests for mobile purchases must be directed to the respective app store.

Refunds

Refunds for Paid Tiers are governed by our Refund Policy, which is incorporated into these Terms by reference.

Several of our Services include AI-powered features (e.g., our Decision Layer, AI Q&A, insight generation, health coaching suggestions). These features rely on large language models provided by third parties including Anthropic (Claude) and may produce outputs that are incomplete, inaccurate, biased, out of date, or misleading ("hallucinations").

You are solely responsible for independently verifying any AI-generated output before acting on it. AI outputs are provided for informational and research purposes only and do not constitute professional financial, investment, medical, legal, or engineering advice. Specifically:

We make no warranty that any AI output is accurate, complete, fit for any particular purpose, or free of bias.

📊 6. Data Sources & Third-Party Content

Our Services may display data, maps, images, or content sourced from third parties (including but not limited to Mapbox for geospatial tiles, public filings from semiconductor fabs, and public financial data). This third-party content is provided "as-is" and remains the property of its respective owners. We do not guarantee its accuracy, completeness, or timeliness.

Any public data we compile (fab locations, capacity estimates, product roadmaps) is the product of independent research and may contain errors, omissions, or outdated information. Do not rely on it for any purpose where accuracy is critical without independent verification.

The Services, including all software, designs, logos, text, graphics, compiled datasets, and original content, are owned by EXAFABS.AI or its licensors and are protected by Indian and international copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business use. This license does not include the right to resell, sublicense, or redistribute any part of the Services.

Your Content

You retain ownership of any content you upload to or generate within the Services (bookmarks, notes, saved dashboards, queries). By uploading such content, you grant us a worldwide, royalty-free license to host, store, process, and display it solely to provide the Services to you.

Feedback

If you send us feedback, ideas, or suggestions, you agree that we may use them without any obligation or compensation to you.

🔒 8. Privacy

Our collection, use, and protection of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Services you consent to our processing of personal data in accordance with the Privacy Policy.

⚠️ 9. Disclaimers & Warranty

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

We do not warrant that the Services will meet your specific requirements or that any defects will be corrected. Your use of the Services is at your sole risk.

⚖️ 10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL EXAFABS.AI, ALPIT TARE, OR ANY OF OUR AGENTS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID TO PADDLE FOR THE APPLICABLE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US$100).

These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if a limited remedy is found to have failed its essential purpose. Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages — in such jurisdictions our liability is limited to the greatest extent permitted by law.

You agree to indemnify, defend, and hold harmless EXAFABS.AI, Alpit Tare, and our agents, employees, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with (a) your use of or access to the Services, (b) your violation of these Terms, (c) your violation of any third-party right, including any intellectual property, privacy, or proprietary right, or (d) any content you upload or generate through the Services.

⏸️ 12. Suspension & Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms, applicable law, or engaged in abusive or fraudulent behavior. Where reasonably possible, we will give you notice and an opportunity to cure before terminating a paid subscription.

You may terminate your account at any time by cancelling your subscription and/or deleting your account through the in-product settings or by emailing alpit@exafabs.ai.

Upon termination, your right to access and use the Services ceases immediately. Sections that by their nature should survive termination (including ownership provisions, warranty disclaimers, indemnification, and limitations of liability) will survive.

🏛️ 13. Governing Law & Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Services are governed by and construed in accordance with the laws of India, without regard to conflict-of-laws principles.

The courts of Mumbai, Maharashtra, India shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms, subject to the mandatory consumer protection rights available to you under the laws of your country of residence.

If you are a consumer in the European Economic Area or the United Kingdom, you retain the benefit of any mandatory consumer protection rights granted to you by the law of your country of residence.

🔄 14. Changes to These Terms

We may revise these Terms from time to time. When we make material changes, we will update the "Effective Date" below and, for registered users, notify you by email or in-product notice at least 14 days before the changes take effect. Continued use of the Services after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, your sole remedy is to stop using the Services and cancel any paid subscription.
